Terms of Service

These Terms of Service (“Terms”) govern the use of internet services provided by Black Line Republic OPC (hereafter referred to as “we,” “us,” or “our”), in our role as an authorised Managed Service Partner (MSP) of Converge ICT Solutions Inc. (“Converge”). By availing of our services—whether as a residential or business subscriber—you (“Subscriber,” “you,” or “your”) acknowledge that you have read, understood, and agreed to abide by these Terms and all related policies including our Privacy Policy.
Service Activation and Subscription
Upon applying for a Converge subscription through Black Line Republic OPC, and after successful validation and installation, your internet service will be activated under a month-to-month agreement. This service agreement begins from the date of activation and automatically renews monthly unless terminated by either party in accordance with the terms outlined herein. By subscribing, you confirm that you are at least 18 years of age or a legally authorised representative of a business or household, and that all information provided to us is accurate and up to date.
Billing, Payment, and Charges
Subscribers are billed monthly, based on the subscription plan chosen during application. This includes the Monthly Recurring Charge (MRC), as well as any one-time charges, installation fees, upgrades, movement of service, or additional services requested. Your bill will indicate the specific Billing Cycle and Due Date, and it is your responsibility to ensure that payment is made on or before the due date to avoid service disruption. Late payments may be subject to penalties, and continuous failure to settle accounts may result in the disconnection of service without further notice. Payments can be made through authorised channels, including Converge business centres, online banking, mobile wallets, or partner payment outlets. If you believe there is an error in your billing, you must report it to us within 60 calendar days from the date of issuance.
Equipment Ownership and Use
All customer premises equipment (CPE) such as modems, routers, and optical network units (ONUs) provided during installation remain the exclusive property of Converge ICT through Black Line Republic OPC, and must be returned in good condition upon service termination. You are responsible for the safekeeping and proper use of this equipment. In cases of loss, damage, or non-return, corresponding penalties or replacement costs will be charged to your account.
Installation and Service Coverage
Installation services will be provided upon network availability. In areas where additional infrastructure or expansion is required, extended lead times and/or additional charges may apply. Our sales and installation teams will inform you of the requirements prior to confirming service deployment. Any changes in service location after installation (e.g., transferring to a new address) are subject to movement or relocation fees.
Acceptable Use and Prohibited Conduct
Subscribers are expected to use the internet service for lawful and intended purposes only. The use of the service for any illegal activities—including but not limited to hacking, hosting malicious content, fraudulent acts, and intellectual property violations—is strictly prohibited. Sharing your subscription outside of your registered location, reselling bandwidth, tampering with network infrastructure, or interfering with equipment may result in immediate service termination, legal action, and forfeiture of fees paid.
Service Interruptions, Maintenance, and Limitations
While we strive to provide reliable and high-quality internet service, certain interruptions may occur due to scheduled maintenance, unforeseen technical issues, weather-related damages, or events beyond our control. In such cases, we will exert reasonable effort to notify you of planned outages and restore service as quickly as possible. However, Black Line Republic OPC and Converge ICT are not liable for any losses, damages, or consequential impacts arising from temporary service interruptions.
Subscriber Responsibilities and Termination
You may cancel your subscription at any time by notifying us through email, phone, or by visiting one of our business centers. Please note that cancellation does not automatically exempt you from any outstanding balances or charges. Likewise, we reserve the right to terminate your service in cases of repeated late payment, fraudulent activity, misuse of service, or non-compliance with our Acceptable Use Policy. Service will be discontinued if billing remains unpaid beyond the allowable grace period, and equipment must be returned promptly.
Privacy and Data Protection
As part of your subscription, Black Line Republic OPC collects and processes certain personal information only for the purpose of delivering service, managing your account, processing payments, and complying with legal or regulatory obligations. All data is handled in accordance with the Data Privacy Act of 2012 and our Privacy Policy. Your information is stored securely, never sold to third parties, and used only for legitimate, service-related purposes. You retain full rights to access, correct, or request deletion of your data, subject to applicable legal limitations.
Limitations of Liability
To the maximum extent permitted by law, we shall not be held liable for indirect, incidental, special, or consequential damages arising from the use or inability to use the internet service. Our total liability for any claim or dispute shall not exceed the amount paid by the subscriber in the previous billing cycle. We are also not responsible for loss of data, revenue, or productivity resulting from service failure or external threats such as power outages, network congestion, or cyberattacks.
Amendments to Terms
Black Line Republic OPC reserves the right to revise or amend these Terms of Service at any time, to reflect changes in operational policies, regulatory requirements, or improvements in service delivery. Any updates will be posted on our official website (https://blackline.com.ph), and subscribers are encouraged to review the Terms periodically. Continued use of the service after the effective date of any changes constitutes acceptance of the revised terms.
